General Terms of Use and Business of MAD Tech GmbH for the use of the blankmile platform
Version dated 13 October 2026
1. Preamble
1.1 MAD Tech GmbH, company registration number FN 581762 h, Volksfeststraße 16, 4910 Ried im Innkreis (hereinafter ‘MAD Tech’), offers various services in digitalisation and software development, including the web application ‘blankmile’ (hereinafter ‘blankmile’).
1.2 blankmile enables businesses within the meaning of section 1 of the Austrian Commercial Code (UGB) (hereinafter the ‘Company’) to communicate digitally with employees, customers, business partners and other third parties, exchange information and carry out digital processes and workflows. Use takes place primarily through a web-based application.
1.3 Depending on the agreed scope of services, blankmile provides various functions. These may include audio and video communication, visual remote assistance (hereinafter a ‘Video Call’), the capture and processing of information, the creation and processing of photos, videos and documents, chat and note functions, and structured digital workflows. Individual functions may be supported by automated procedures and artificial intelligence technologies.
1.4 Persons who use blankmile as part of the Company’s use, including employees, customers and other third parties, are collectively referred to below as ‘Users’.
1.5 The specific functions and services provided by blankmile are determined by the relevant offer and the service descriptions expressly incorporated into it.
2. Scope and subject matter
2.1 These General Terms of Use and Business (hereinafter the ‘Terms’) of MAD Tech apply to contracts between businesses as defined in clause 1.2 of the preamble and MAD Tech concerning the use of blankmile. Other services provided by MAD Tech are not covered by these Terms.
2.2 These Terms apply exclusively and take precedence over the Company’s general terms and conditions. Conflicting or differing provisions of the Company apply only if MAD Tech expressly agrees to them in writing.
2.3 The Terms validly incorporated when the contract is concluded apply to the contractual relationship. MAD Tech may amend these Terms during an existing contractual relationship where objectively justified grounds exist, particularly changes in legal or regulatory requirements, technical developments, changes to the functions offered, security requirements, or clarification and adjustment of existing contractual provisions. Amendments must not unreasonably restrict the essential agreed services or materially alter the contractual balance to the Company’s detriment. MAD Tech will notify the Company of intended amendments in text form at least 30 days before they take effect, in particular by email to the last email address provided. The notice will contain the proposed amendments, their effective date and an express explanation of the right to object and the consequences of failing to object. If the Company does not object in text form within 30 days of receiving the notice, the amendments are deemed accepted to the extent that such deemed consent is legally permissible. If an objection is made in time, the previous terms continue to apply until the end of the agreed contract term unless the parties agree otherwise. The right to terminate for good cause remains unaffected. Material changes to the principal agreed obligations, contract term or agreed remuneration require an express agreement unless a valid contractual adjustment provision already exists. For future contracts and subsequent licences, MAD Tech may agree the Terms current at the time the new contract is concluded.
2.4 MAD Tech provides the Company with the blankmile web application for the purpose (hereinafter the ‘Purpose’) and scope of services defined in the preamble.
2.5 Within the available technical capabilities, blankmile may be connected through interfaces to existing systems and applications of the Company or third parties. In particular, MAD Tech may provide a REST API through which the Company can independently integrate blankmile into its systems. Use of the REST API requires a corresponding separate licence and is permitted only within the contractually agreed scope. An entitlement to provision or use of the REST API exists only where expressly agreed in the relevant offer. Under a separate agreement, MAD Tech may also develop, set up or maintain customer-specific integrations, interfaces or customisations. Their scope, remuneration and other conditions are governed by the relevant offer or separate agreement.
2.6 Where blankmile is connected to systems or applications of the Company or third parties, the Company is responsible for ensuring that the necessary usage rights, access permissions and other requirements for integration are met on its side. For integrations carried out independently by the Company or third parties it commissions, the Company is responsible for proper setup, configuration and use. In particular, the Company must protect access credentials, API keys and other authentication information against unauthorised access. MAD Tech assumes no responsibility for the availability, functionality or changes of third-party systems outside its control. MAD Tech’s responsibility for its own expressly agreed integration services and mandatory statutory claims remain unaffected.
3. Offer and conclusion of contract
3.1 MAD Tech submits an offer to the Company for the use of blankmile. The offer specifies, in particular, the agreed services, usage fees and, where applicable, the contract term.
3.2 The usage agreement is concluded when the Company accepts the offer. Acceptance may be in writing or electronically unless the offer requires a particular form.
3.3 Upon acceptance of the offer, these Terms and any supplementary contractual terms expressly incorporated into the offer, in particular the Data Processing Agreement, become part of the usage agreement.
3.4 In the event of a conflict between the individual offer and these Terms, the expressly agreed individual provisions take precedence. For the processing of personal data on behalf of the Company, the provisions of the Data Processing Agreement (DPA) take precedence.
4. Usage rights and restrictions
4.1 MAD Tech grants the Company a non-exclusive, non-transferable and non-sublicensable right to use blankmile for the agreed licence term within the contractually agreed scope of services and the usage conditions and limits specified in the relevant offer.
4.2 The Company may use blankmile for its own business purposes during the licence term and allow its employees and other authorised Users to use the agreed functions. Use is governed by these Terms and the conditions specified in the relevant offer.
4.3 Without MAD Tech’s prior consent, the Company may not transfer its usage rights to third parties, independently rent or resell blankmile to third parties, or grant sublicences. Intended use of the communication platform by employees, customers, business partners and other Users within the agreed functions remains expressly permitted. The Company must take appropriate measures to protect its assigned user accounts and access credentials against unauthorised access. The provisions of clause 7 additionally apply to invitation links.
4.4 The Company must not make or arrange unauthorised interventions in blankmile without MAD Tech’s prior consent. In particular, unauthorised reproduction, modification, decompilation, disassembly or reverse engineering of the software and circumvention of technical protection measures are prohibited. Mandatory statutory rights remain unaffected.
4.5 Unlawful, improper or abusive use of blankmile is prohibited. This includes use that breaches these Terms, applicable law or third-party rights, or impairs or endangers the security, integrity or functionality of blankmile. The provisions of clause 7 remain unaffected.
4.6 The Company may not reproduce or reconstruct blankmile or essential parts of the communication platform, or have them reconstructed, using confidential information, non-public technical knowledge or analysis of the platform in breach of contract. In particular, it is prohibited to copy, adopt or use source code, technical architectures, non-public interfaces, protected design elements or other protected parts of blankmile without authorisation to develop competing software solutions. This also applies to passing such information to third parties for that purpose. Mandatory statutory rights and independent development of the Company’s own software without breaching these obligations remain unaffected.
4.7 All rights in blankmile, in particular copyright, industrial property rights and rights in the software, source code, technical architecture, database structures, user interfaces and other protected parts of the communication platform, remain with MAD Tech or the respective rights holders. Conclusion of the usage agreement grants the Company only the expressly agreed usage rights. No ownership or other intellectual property rights in blankmile are transferred. The rights of the Company and its Users in content they provide or create remain unaffected.
4.8 Where MAD Tech creates individual customisations, interfaces, integrations or other software developments for the Company, copyright and other intellectual property rights in them remain with MAD Tech or the respective rights holders unless expressly agreed otherwise. The Company receives the usage rights specified in the relevant offer or separate agreement. Payment for an individual development service does not itself transfer copyright or other intellectual property rights. MAD Tech may also use independently developed elements not protected specifically for the customer, general technical solutions and reusable components for other customers and projects. The Company’s confidential information, trade secrets and other protected rights remain unaffected.
5. Payment terms
5.1 MAD Tech is entitled to the usage fee agreed in the relevant offer for providing and permitting use of blankmile. Unless expressly stated otherwise, all prices are in euros and exclude applicable statutory VAT.
5.2 The amount of the usage fee, agreed licence term, any additional fees and special payment conditions are set out in the relevant offer. Unless agreed otherwise in the offer, the usage fee for the agreed billing period is invoiced in advance and is payable without deduction within 14 days of the invoice date. General prices shown on MAD Tech or blankmile websites are non-binding unless expressly made part of the relevant offer.
5.3 MAD Tech may send invoices, offers, contractual documents and access credentials electronically, in particular by email, to the email address provided by the Company. The Company must promptly notify MAD Tech of changes to its contact details.
5.4 In the event of late payment, MAD Tech may claim statutory default interest and other legally permissible collection costs. After a prior reminder and a reasonable grace period, MAD Tech may temporarily restrict or suspend access to blankmile until all due claims have been paid, where appropriate in the circumstances. Further statutory and contractual rights, in particular termination for good cause under clause 11, remain unaffected.
5.5 The agreed usage fee is payable regardless of the extent to which the Company actually uses blankmile during the agreed licence term. Non-use or temporary non-use by the Company does not create an entitlement to reimbursement or a proportionate reduction of the usage fee. Statutory or expressly agreed contractual claims arising from a failure of performance attributable to MAD Tech remain unaffected.
5.6 Unless expressly agreed otherwise in the relevant offer, the usage fee is index-linked. The basis is the Consumer Price Index 2025 (CPI 2025) published by Statistics Austria or any successor index. The starting point is the index figure published for the month in which the contract is concluded. Index changes of up to and including 5% against the applicable base are disregarded. If the index rises or falls beyond this threshold, MAD Tech may adjust the usage fee by the full index change. An adjustment is permitted no earlier than twelve months after the contract term begins and thereafter no more than once annually. MAD Tech will inform the Company in text form at least 30 days before an adjustment takes effect. The adjustment applies only from its effective date. If the usage fee for that period has already been paid in advance, MAD Tech may separately invoice the difference arising from the index adjustment for the remaining contract period. Unless agreed otherwise, that difference is payable within 14 days of the invoice date. The index figure used for an adjustment becomes the new base for further adjustments. Failure to exercise the adjustment right does not waive future adjustments. Retroactive claims for periods before an adjustment takes effect are excluded.
6. Further development and updates
6.1 MAD Tech endeavours to develop blankmile continuously and keep it technically up to date. MAD Tech may carry out developments, upgrades and updates automatically without separate consent from the Company. No entitlement to particular developments, updates or additional functionality exists unless expressly agreed by contract.
6.2 The Company acknowledges that blankmile may be temporarily unavailable or available only to a limited extent during updates, maintenance, technical adjustments or security measures. Where possible, MAD Tech will schedule substantial planned interruptions to minimise their impact on the Company.
6.3 Further development of blankmile may extend or change the scope of services. In particular, new functions may be provided, existing functions adjusted or removed, processes and user interfaces optimised, and technical infrastructure and data management brought into line with current technology. The essential scope of services expressly agreed in the relevant offer is preserved, subject to compelling technical, legal or security reasons.
6.4 Unless expressly agreed otherwise in the relevant offer, MAD Tech owes no specific minimum availability, guaranteed uptime, or particular response, processing or recovery times. Uninterrupted or completely error-free provision of blankmile at all times is not guaranteed.
6.5 Individual blankmile functions may depend on external service providers, telecommunications networks and technical infrastructure. MAD Tech does not guarantee the continuous availability or fault-free performance of such third parties. In particular, no specific delivery times, delivery rates or worldwide deliverability of SMS or email are guaranteed. Restrictions may arise, in particular, from country-specific network conditions, regulatory requirements and network operator measures.
6.6 These provisions do not affect MAD Tech’s obligation to provide the essential contractually agreed services or the Company’s mandatory statutory rights.
7. Content, communication and permitted use
7.1 Within the available functions, blankmile enables the Company and Users to capture, create, upload, edit, exchange and provide information and content. This includes, in particular, photos, videos, documents, notes, chat messages, voice content, transcriptions, subtitles, translations, summaries and other information and content processed during Video Calls or digital workflows or generated through automated procedures (collectively ‘Content’).
7.2 Individual blankmile functions may rely on automated speech processing, translation, artificial intelligence or comparable technologies. Content generated in this way, particularly transcriptions, subtitles, translations and summaries, may contain technical errors, inaccuracies or incomplete information. MAD Tech does not guarantee the accuracy, completeness or suitability of such results for any particular purpose. The Company is responsible for appropriately reviewing these results before using them for business-critical or legally relevant purposes.
7.3 Users may be invited to participate in Video Calls or workflows through an invitation link. Invited Users generally do not need to register or sign in to blankmile beforehand. Access to the respective functions and Content is through the invitation link provided and depends on its associated technical access capabilities. Persons possessing a valid invitation link may, where applicable, view, edit, upload or export the Content accessible through it.
7.4 The Company is responsible for the intended use and sharing of invitation links within its area of responsibility. It must ensure that invitation links are shared only with persons who are intended to receive access to the relevant Video Calls, workflows or Content. The Company acknowledges that sharing invitation links with unauthorised third parties may give them access to the associated functions and Content.
7.5 The Company is responsible for Content provided, created or processed through blankmile by it and its Users. It must ensure that use of the communication platform and the processing and sharing of Content comply with applicable law and third-party rights. This includes, in particular, data protection law, personality rights, copyright, trademark rights and other protected rights.
7.6 Use of blankmile to create, store, transmit or distribute unlawful, offensive, defamatory, discriminatory, threatening, pornographic or otherwise impermissible Content is prohibited. Harassment, bullying, spam, violations of personality rights and unauthorised use or distribution of content protected by copyright or other rights are also prohibited.
7.7 The Company and its Users must not misuse blankmile. In particular, unauthorised access to other persons’ accounts, Video Calls, workflows or data, interception of messages, circumvention of technical security measures and automated procedures for unauthorised extraction, copying or alteration of data are prohibited. Intended use of the functions provided by blankmile, particularly the available export options, remains unaffected.
7.8 Where personal data is processed through blankmile or made accessible to third parties, the Company is responsible for ensuring that an appropriate legal basis exists under data protection law and that the required information obligations are fulfilled. MAD Tech’s data protection obligations as a processor are governed by the validly agreed Data Processing Agreement (DPA).
7.9 Where there are specific indications of unlawful use or a serious breach of contract, MAD Tech may take appropriate measures to stop infringements, ensure the security of the communication platform or fulfil legal obligations. Such measures may include blocking individual access, restricting certain functions or removing affected Content. MAD Tech will take the Company’s legitimate interests into account and, where possible, inform it in advance or promptly after taking the measure. Statutory obligations and the DPA remain unaffected.
8. Warranty
8.1 Statutory warranty provisions apply to use of blankmile except where permissible alternative provisions for business-to-business contracts are set out below. MAD Tech owes the provision of blankmile within the contractually agreed scope of services. A particular characteristic or function is agreed only if specified in the relevant offer or a service description expressly incorporated into it.
8.2 MAD Tech does not warrant that blankmile meets all the Company’s individual expectations or special requirements unless expressly agreed by contract. Completely error-free or uninterrupted use at all times is not guaranteed. The provisions on further development, updates and availability in clause 6 remain unaffected.
8.3 The Company must notify MAD Tech of defects or malfunctions within a reasonable period after discovery and describe them as clearly as possible. It must provide reasonable assistance to MAD Tech in investigating and remedying reported defects.
8.4 In the event of a defect covered by warranty, MAD Tech may first remedy it within a reasonable period to the extent permitted by law and reasonable for the Company. Further statutory warranty rights remain unaffected in accordance with applicable law.
8.5 General product information, technical descriptions and advertising statements on MAD Tech or blankmile websites do not constitute independent guarantees of characteristics. The relevant offer and service descriptions expressly incorporated into it determine the contractually owed scope of services.
9. Liability
9.1 Unless otherwise provided by written agreements between MAD Tech and the Company or mandatory law, claims by the Company for damages or other reimbursement of expenses are excluded, irrespective of their legal basis.
9.2 This limitation does not apply where MAD Tech causes damage through gross negligence or intent. Liability for personal injury remains unaffected.
9.3 blankmile must not be used for unlawful or abusive purposes. MAD Tech is not liable for misuse of blankmile or use contrary to these Terms.
9.4 MAD Tech excludes all liability for indirect loss, lost profit, loss of interest, unrealised savings, damage arising from defects, consequential or financial loss, and damage arising from third-party claims.
9.5 MAD Tech is not liable for damage arising from the use of blankmile. Furthermore, MAD Tech is not liable for blankmile being free of defects or for damage caused by defective configuration of blankmile, irrespective of the legal basis.
9.6 MAD Tech also accepts no liability or warranty for any particular characteristic, use, success or result.
9.7 MAD Tech is not liable for Users’ infringement of third-party rights, in particular compliance with or infringement of copyright and trademark provisions. If a third party makes a claim against MAD Tech due to such infringement, the Company shall indemnify and hold MAD Tech harmless. This applies in particular in relation to clause 7.
10. Data protection
10.1 MAD Tech and the Company will comply with the applicable data protection provisions.
10.2 If the Company collects, processes or uses personal data, it warrants that it is entitled to do so under applicable provisions, in particular data protection law, and shall indemnify MAD Tech against third-party claims in the event of a breach.
10.3 Where personal data is processed under clause 10.2, the Data Processing Agreement (DPA) of MAD Tech GmbH applies in addition to these Terms. The DPA is available at https://blankmile.com/avv and becomes part of the usage agreement upon acceptance of the offer. The version validly incorporated when the contract is concluded is authoritative. Amendments are governed by the provisions agreed in the DPA. No separate signature of the DPA is required.
10.4 As the controller under data protection law when using blankmile, the Company is responsible for informing data subjects, particularly employees, customers, business partners and other Users, about the processing of their personal data in accordance with applicable data protection law. This includes, in particular, fulfilling the information obligations under Articles 13 and 14 GDPR and providing or, where necessary, adapting relevant privacy notices. MAD Tech is not required to fulfil these information obligations towards the Company’s data subjects on its behalf. MAD Tech’s own statutory data protection obligations and its obligations under the agreed Data Processing Agreement (DPA) remain unaffected.
11. Term and termination
11.1 The usage agreement is concluded for the term agreed in the relevant offer. The licence term begins on the start date expressly specified in the offer. If no start date is agreed, it begins when MAD Tech first sends the access credentials to the Company. Unless agreed otherwise in the offer, the contract term is twelve months. Ordinary termination during the agreed term is excluded for both parties. The usage agreement ends automatically when the agreed term expires, without notice of termination. There is no automatic renewal.
11.2 Continued use of blankmile beyond the agreed term requires a new contractual agreement. MAD Tech may submit a new offer before the existing licence expires. A subsequent licence arises only through acceptance of that offer or another express agreement between the parties. There is no entitlement to renewal or continuation of the usage agreement.
11.3 Both parties’ right to terminate for good cause remains unaffected. Good cause exists, in particular, where a party seriously or repeatedly breaches essential contractual obligations and, taking all circumstances into account, the other party cannot reasonably be expected to continue until the agreed end date. For MAD Tech, good cause includes substantial payment arrears despite a reminder and reasonable grace period, serious or repeated use of blankmile in breach of contract, unlawful or abusive use, and a substantial threat to platform security or integrity. Temporary availability restrictions, technical faults and delays or failures in services provided by external providers, particularly telecommunications, SMS, email and cloud providers, do not in themselves constitute good cause for termination if MAD Tech substantially provides the services owed and no circumstances make continuation unreasonable. Where a breach can be remedied and it is reasonable for the affected party, a reasonable period to remedy it must be granted before termination for good cause. This period may be omitted for particularly serious breaches. Mandatory statutory termination rights remain unaffected.
11.4 The Company’s usage right ends when the agreed term expires. MAD Tech may deactivate access to blankmile and the associated user accounts. If no valid subsequent licence has been agreed when the contract ends, or if there is a gap between licence periods, MAD Tech may delete the system environment provided for the Company, including customer data stored in it, in accordance with the agreed Data Processing Agreement (DPA) and statutory provisions. There is no entitlement to restoration of a system environment that has already been lawfully deleted.
11.5 The Company is responsible for exporting required data through available functions in good time before the term expires or agreeing any necessary data handover with MAD Tech. The return and deletion of personal data processed by MAD Tech on behalf of the Company are governed by the validly agreed DPA. Data in technical backups is deleted within the designated backup retention periods unless statutory obligations prevent this. Statutory retention duties and permissible processing of data for which MAD Tech itself is the controller remain unaffected.
11.6 Termination for good cause must be in text form; email is sufficient. Termination of the usage agreement does not affect payment claims already arising or other rights and obligations that by their nature continue beyond the end of the contract.
12. Confidentiality
12.1 MAD Tech and the Company mutually undertake to keep confidential all confidential information and trade secrets of the other party learned in connection with negotiating, performing or ending the contractual relationship, and not to disclose them to unauthorised third parties without prior consent. Confidential information includes, in particular, non-public business, technical, economic and organisational information, business processes, pricing agreements, customer data, documents, concepts and other information whose confidential nature follows from its character or the circumstances of disclosure.
12.2 Confidentiality does not apply to information demonstrably already public or becoming public without breach of a confidentiality obligation, already lawfully known to the receiving party, or lawfully disclosed to it without a confidentiality obligation by an authorised third party. Disclosure required by mandatory law or an official or judicial order is also permitted, provided the receiving party informs the other party in advance to the extent legally permissible.
12.3 The parties may use confidential information only to perform the contractual relationship and may disclose it only to employees, advisers or other persons engaged in performance who need it for that purpose and are bound by appropriate confidentiality obligations or an equivalent statutory duty of confidentiality. Each party must ensure compliance by the persons it engages within its area of responsibility.
12.4 Confidentiality obligations continue after the contractual relationship ends for as long as the information remains confidential. Statutory duties to protect trade secrets, data protection provisions and obligations under the agreed Data Processing Agreement (DPA) remain unaffected.
13. Customer references
13.1 MAD Tech may use the Company’s logo and name for marketing on platforms such as its website, social media, presentations and similar channels. This permission is unlimited in time but may be revoked by the Company in writing at any time. Following revocation, MAD Tech must remove all references within 14 days to the extent technically possible. More detailed descriptions, case studies and other project references for marketing purposes require the customer’s prior written consent.
14. Miscellaneous
14.1 To the extent permitted by law, the court having subject-matter jurisdiction in Ried im Innkreis, Austria, has exclusive jurisdiction over all disputes arising from or in connection with this contract. This applies exclusively to contractual relationships with businesses within the meaning of section 1 UGB.
14.2 Austrian law applies exclusively, excluding the UN Convention on Contracts for the International Sale of Goods and the conflict-of-law rules of private international law.
14.3 If any part of these Terms is invalid, the validity of the remaining provisions is unaffected.
14.4 Amendments and additions to the usage agreement and differing supplementary agreements must be in text form to be effective unless a stricter form is required by law or contract. Email satisfies text form in particular. Conclusion of the usage agreement is governed by clause 3. In the event of conflicts between these Terms and expressly agreed individual provisions, the individual agreements take precedence.
